## Administrative law regulation of banking activity

#### Abstract

The aim of this thesis is comprehensive presentation of administrative and legal regulations governing the bank activity in Poland. The functioning of banks in the territory of the Republic of Poland is subject to numerous regulations in the field of various areas of law, however I will only focus on the administrative aspect. The Polish banking sector is a dynamic structure that has undergone many changes over the years. Currently the dynamics of this sector is manifested in its capabilities and uninterrupted development. Bank is a legal person, that is a subject of civil law having juridical personality, through which it can fully utilize its right to participate in economic turnover. Banks form a two-tier system of related institutions. The first of them is the central bank, that is Narodowy Bank Polski, whereas the second level consists of operational banks, called commercial banks. The second important concept is regulation. The term stands for standardization, inclusion of something in the law regulations. Consequently, administrative and legal regulation of bank activity is an action aimed at maintaining the proper functioning of the bank institution. In the second chapter of this thesis I explain the operation the operation of the banking supervision system excersised by Komisja Nadzoru Finansowego. I explain the term of supervision and control as well as indicate the principles, goals and functions banking supervision. In the second part of the chapter I am focusing on presenting the roles of Narodowy Bank Polski and Bankowy Fundusz Gwarancyjny as institutions supporting and regulating the functioning of banking sector. In the third chapter, I discuss the regulations concerning a bank in the form of a joint-stock and cooperative company, regarding the receipt by the founders of a permit to establish a bank, and a permit to start its operation afterwards. In this part of the work I also present the rules for establishing, liquidation and transformation of a state-owned bank into a joint stock company, referring to the regulations of the Ustawa z dnia 29 sierpnia 1997 r. Prawo bankowe as well as Ustawa z dnia 15 września 2000 r. Kodeks spółek handlowych. In this chapter, I also present the regulatory procedures applied by the Komisja Nadzoru Finansowego to banks. KNF has competences with a wide range of rulership. These include the possibility of carrying out remedial proceedings, introducing the receivership, taking over and liquidating the bank and carrying out the bank's bankruptcy proceedings.
